Terms of Service: Pace

Version: 1.1.0 Effective date: 2026-08-17

1. Introduction

1.1. These Terms of Service ("Terms") govern access to and use of the Pace service, including the web application at https://pace.alto.se, related APIs, integrations, and any documentation (collectively, the "Service"), provided by Alto Professional Services AB, a Swedish limited liability company with organisationsnummer 559244-1561 and registered address Slottsbacken 8, 111 30 Stockholm, Sweden ("Pace", "we", "us", "our").

1.2. By creating an account, accepting these Terms in the application, or using the Service, you ("Customer", "you") agree to be bound by these Terms. If you accept on behalf of an organisation, you represent that you have authority to bind that organisation.

1.3. These Terms incorporate by reference our Privacy Policy and any Data Processing Agreement ("DPA") executed between you and Pace.

2. Service description

2.1. Pace is a multi-tenant, AI-augmented software-as-a-service platform for time tracking, expense logging, project and customer management, dashboards, reporting, and related billing operations.

2.2. Service features include, without limitation: time-entry, absence and expense recording; customer, project and membership management with hourly cost rates; user-authored SQL-based dashboards and reports with CSV export; an AI chat assistant with speech-to-text dictation; an optional AI voice agent; scheduled AI jobs; subscription billing management; and connections to third-party services described in clause 8.

2.3. The Service is delivered on a software-as-a-service basis. We may modify, add or remove features over time. Material adverse changes are subject to clause 16.

3. Business-to-business nature

3.1. The Service is provided exclusively to organisations (companies, partnerships, sole proprietors and similar entities) for use in the conduct of their business. The Service is not offered to consumers. By accepting these Terms you confirm that you are acting in a business, professional or commercial capacity and not as a consumer.

3.2. Accordingly, mandatory consumer-protection rights (including statutory rights of withdrawal under the Swedish Distance Contracts Act, lag (2005:59) om distansavtal och avtal utanför affärslokaler) do not apply.

3.3. The Service is not intended for or directed at individuals under the age of 16. You must not provision Service access to anyone under 16.

4. Accounts, organisations and seats

4.1. Organisations. When you sign up, an "Organisation" is created (or you are joined to an existing Organisation based on email domain matching). All data, configuration, integrations and billing are scoped to an Organisation.

4.2. Users and seats. Each natural person who accesses the Service must have their own user account. A "seat" is the right of one named user to access the Service on behalf of an Organisation. Seats may not be shared, transferred between persons or used by automated agents other than as expressly permitted (e.g. API keys provisioned to the user account).

4.3. Roles. Organisations have administrator ("admin") and standard ("user") roles. Admins can manage settings, members, integrations, customers, projects and billing. Each Organisation is responsible for assigning roles appropriately.

4.4. Account credentials. You are responsible for safeguarding credentials, API keys and any authentication tokens issued to you or your users, and for all activity occurring under your account. Notify us at info@alto.se without undue delay if you suspect unauthorised access.

4.5. Domain-based auto-join. If your Organisation has a verified email domain configured, new users whose email address matches that domain may be auto-joined to the Organisation. Admins are responsible for ensuring this configuration is appropriate.

4.6. Invitations. Admins may invite users by email. Invitation emails contain a single-use acceptance link.

5. Acceptable use

5.1. You must not, and must not permit any user, third party or automated agent to:

  • (a) use the Service in violation of applicable law, including Swedish and EU law;
  • (b) upload, store, process or transmit through the Service any content for which you do not hold the necessary rights, or any content that is unlawful, defamatory, infringing, harmful, or contains malware;
  • (c) circumvent or attempt to circumvent authentication, authorisation, row-level security, tenant isolation, rate limits or any other access control;
  • (d) probe, scan, penetration-test or reverse-engineer the Service without our prior written consent, except to the extent such restriction is prohibited by mandatory law;
  • (e) interfere with, disrupt or impair the integrity, performance or availability of the Service for other customers;
  • (f) use the Service to send unsolicited communications, mass marketing, or spam;
  • (g) use the Service to train, fine-tune or evaluate machine-learning models, except for internal personalisation of your own Organisation's use;
  • (h) resell, sublicense, lease, time-share or otherwise make the Service available to third parties outside your Organisation, except as expressly permitted in writing;
  • (i) provide false, misleading or fraudulent information when signing up or using the Service;
  • (j) use the Service in connection with the operation of critical infrastructure, life-safety systems, or other applications where failure could result in death, personal injury or severe property or environmental damage.

5.2. We may suspend or terminate access in case of breach of this clause, as described in clause 15.

6. AI features

6.1. Overview. The Service includes AI-powered features that process user input on third-party infrastructure, including:

  • (a) Chat assistant, time-entry rewrite, SQL generation, and dashboard-widget generation, which are processed via Amazon Web Services Bedrock running Anthropic Claude models (the "LLM features"). LLM features run in an EU cross-region inference profile (eu.anthropic.*).
  • (b) Speech-to-text: dictation, audio attachments to the chat assistant, and Slack voice memos are transcribed by ElevenLabs; only the resulting text is retained by the Service.
  • (c) Voice agent, an optional conversational voice feature backed by ElevenLabs.

6.2. User responsibility for AI input. You are responsible for the content you submit to AI features. Do not submit content that you do not have the right to submit, that contains personal data for which you have no lawful basis, or that you would not want processed by a third-party AI provider in the manner described in our Privacy Policy.

6.3. AI output is not advice. AI outputs (including generated SQL, rewritten descriptions, suggested widgets and chat responses) are produced probabilistically and may be inaccurate, incomplete, or unsuitable for any particular purpose. AI output is provided for convenience and must be reviewed and validated by a human before being relied upon. Generated SQL may, when executed, return incorrect results, return more data than expected, or modify data (see clause 7).

6.4. Tool use. The AI chat assistant can, on your instruction, invoke API operations on your behalf (via Model Context Protocol tools auto-derived from the Service API and via any external MCP servers you connect). Such actions take effect under your account, with your permissions, and are your responsibility.

6.5. Voice and audio. When you use the voice agent, audio is transmitted to ElevenLabs in real time. Audio submitted for transcription (dictation, chat attachments, Slack voice memos) is transmitted to ElevenLabs for speech-to-text conversion; Pace does not persist the audio. See the Privacy Policy for further detail.

6.6. No use of your inputs to train third-party foundation models is performed by us. AWS Bedrock terms govern provider-side handling of LLM inputs, and ElevenLabs' terms govern provider-side handling of audio; see our Privacy Policy and DPA.

7. User-authored SQL and reports

7.1. The Service permits authenticated users to author SQL statements that the Service executes against your Organisation's data (in dashboards, reports, AI-generated SQL, etc.).

7.2. SQL execution is scoped by database-level row-level security to your Organisation's tenant data. However, within that tenant scope, user-authored or AI-generated SQL can return, filter, aggregate or, where permitted, modify data.

7.3. You are solely responsible for SQL that your users (or AI features acting at user direction) author, save and execute. You agree that Pace is not liable for any consequences of SQL execution, including incorrect business decisions made on the basis of report output, accidental disclosure within your Organisation, performance impact, or downstream effects of CSV exports.

7.4. You should treat AI-generated SQL with particular care and review it before execution.

8. Third-party integrations and MCP connections

8.1. The Service offers integrations with third-party services, including Stripe, Fortnox, Slack, Google (as a sign-in option via WorkOS federation, and Google Calendar access for the AI chat assistant via a WorkOS-managed connection), and arbitrary user-configured Model Context Protocol ("MCP") servers.

8.2. Your account at the third party. Integrations require credentials, OAuth grants, API keys, or tokens issued by the third party. You are responsible for your relationship with the third party, for compliance with the third party's terms, for the accuracy and lawfulness of data you direct us to send to them, and for revoking access when no longer required.

8.3. MCP connections. You may connect Pace to external MCP servers of your choice. You are solely responsible for: the selection, configuration, trustworthiness and security of any MCP server you connect; the credentials, tokens, headers and authentication you configure for it; and the consequences of data sent to or actions performed by such servers. We do not vet, endorse, or warrant any third-party MCP server.

8.4. Third-party availability. Third-party services may change their APIs, suspend availability, or terminate access at any time. We are not liable for the consequences of any third-party service's acts, omissions, downtime or termination.

8.5. No agency. Integrations do not create any agency, partnership or joint venture between Pace and the third party.

9. Customer data and intellectual property

9.1. Your data. As between you and us, you retain all rights, title and interest in and to the data, content and configuration you and your users submit to or generate within the Service ("Customer Data"), including time entries, expenses, customer and project records, SQL, dashboards, reports, files, and AI inputs and outputs that are saved to your Organisation.

9.2. Licence to us. You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, display, process and otherwise use Customer Data solely as necessary to provide, operate, secure and support the Service, to comply with law, and to enforce these Terms. Where Customer Data contains personal data, we process it as a processor on your behalf in accordance with the DPA and Privacy Policy.

9.3. Our intellectual property. As between you and us, we retain all rights, title and interest in and to the Service, including software, APIs, models (other than third-party foundation models), documentation, designs, logos and "Pace" branding. Nothing in these Terms grants you any right in our intellectual property except the right to use the Service in accordance with these Terms.

9.4. Feedback. If you provide suggestions, feedback or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use them without restriction. We are not obliged to act on any feedback or to keep it confidential, unless agreed in writing.

9.5. Aggregated / anonymised data. We may generate and use aggregated and de-identified statistics derived from operation of the Service (e.g. usage metrics) provided that such data cannot reasonably be used to identify you or any individual.

10. Fees, billing and taxes

10.1. Plan and price. The Service is offered as a single paid plan priced at 249 SEK per user per month, exclusive of VAT, billed monthly on a recurring, per-seat basis via Stripe. The current price and any usage limits are shown in the application's billing settings.

10.2. Free trial. New Organisations receive a 14-day free trial starting when the Organisation is created. No payment details are required during the trial. If no subscription is started before the trial ends, the Organisation is parked as described in clause 10.7.

10.3. Billing provider. All payments are processed by Stripe Payments Europe, Ltd. ("Stripe"). By providing payment details you authorise Stripe (and us, through Stripe) to charge the recurring subscription fee corresponding to your seat count. You are responsible for maintaining valid payment details.

10.4. Seats. Each member of your Organisation occupies one seat. The subscription quantity is adjusted automatically when members are added or removed, and Stripe prorates the difference within the billing period. A subscription always covers at least one seat.

10.5. AI usage limits. AI features are subject to a usage allowance of 100 AI prompts per user per calendar month, on both trial and paid subscriptions. The application shows current usage. We may adjust allowances prospectively on reasonable notice.

10.6. Prices and taxes. Unless otherwise stated, prices are stated exclusive of value-added tax (VAT) and any other taxes, duties or governmental charges, which will be added where applicable in accordance with law.

10.7. Parking on non-payment or trial expiry. If your Organisation has no active subscription and no running trial (including after a failed charge that is not remedied), the Organisation is parked: members retain access to billing status, and administrators retain access to subscription checkout, the Stripe Billing Portal, and read-only report export. Customer Data is retained in accordance with the Privacy Policy while an Organisation is parked. Statutory interest on late commercial payments under Swedish law (räntelagen) may apply to unpaid amounts.

11. Cancellation and refunds

11.1. Cancellation. You may cancel your subscription at any time via the Stripe Billing Portal (accessible from the application's billing settings). You retain access to the Service until the end of the current paid period, after which the Organisation is parked as described in clause 10.7.

11.2. No automated refunds. Subscription fees are non-refundable except where required by mandatory law. No refunds are given for partial billing periods; cancellation stops future charges only.

11.3. Effect on data. Parking restricts access but does not, by itself, delete Customer Data; data retention and deletion follow the Privacy Policy and clause 15.

12. Disclaimers

12.1. As-is. To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, title, accuracy, completeness, or quiet enjoyment.

12.2. No uptime guarantee. Unless a separate service level agreement is executed between you and us, we do not warrant that the Service will be uninterrupted, error-free, free of harmful components, or that defects will be corrected.

12.3. AI and third-party outputs. We make no warranty as to the accuracy, completeness, quality, or fitness of AI-generated output, third-party data, third-party integrations, or third-party MCP servers.

12.4. Beta features. Features identified as "beta", "preview", "experimental" or similar are provided without warranty and may be modified or withdrawn at any time.

13. Limitation of liability

13.1. Excluded damages. To the maximum extent permitted by law, neither party will be liable to the other for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, business, goodwill, anticipated savings, or for loss or corruption of data, whether arising in contract, tort (including negligence), statute or otherwise, even if advised of the possibility of such damages.

13.2. Cap on liability. Each party's aggregate liability under or in connection with these Terms in any twelve (12)-month period will not exceed the greater of (a) the fees paid by you to us in respect of the Service during that period, and (b) one thousand (1,000) euro.

13.3. Carve-outs. Nothing in these Terms limits or excludes liability that cannot be limited or excluded under mandatory law, including liability for wilful misconduct, gross negligence, or personal injury caused by negligence.

14. Indemnification

14.1. You will defend, indemnify and hold harmless Pace, its affiliates and their respective officers, directors, employees and agents from and against any claims, damages, losses, costs and expenses (including reasonable legal fees) arising out of or relating to:

  • (a) your or your users' breach of these Terms;
  • (b) your Customer Data, including any claim that Customer Data infringes any third-party right or violates any law;
  • (c) your use of AI features, user-authored SQL, or any third-party integration or MCP server;
  • (d) your violation of applicable law, including data-protection law.

14.2. We will provide you with prompt notice of any such claim and reasonable cooperation. You may not settle a claim that imposes any obligation or admission on us without our prior written consent (not to be unreasonably withheld).

15. Suspension and termination

15.1. Termination for convenience. Either party may terminate these Terms (and any related subscription) for convenience by ceasing use and cancelling via the Stripe Billing Portal, or by written notice for Organisations without an active subscription. No refunds for partial periods unless required by mandatory law.

15.2. Termination for cause. Either party may terminate immediately on written notice if the other party materially breaches these Terms and fails to cure within thirty (30) days after written notice (or, if the breach cannot be cured, immediately).

15.3. Suspension. We may suspend the Service in whole or in part, with or without notice where prior notice is impractical, if (a) you breach clauses 5, 9 or 10; (b) we reasonably believe your use poses a security, integrity or legal risk to us or other customers; (c) required by law or a competent authority; or (d) a third-party provider on whom the Service materially depends suspends or terminates service to us.

15.4. Effect of termination. On termination, your right to use the Service ceases. Within a reasonable period after termination (and in any event no later than ninety (90) days), we will delete or anonymise Customer Data, except where retention is required by law, for legitimate business records (e.g. invoicing), or as backup data subject to standard retention cycles. You may export reports and CSV data from the Service before termination; on request and where technically feasible, we will assist with reasonable export within thirty (30) days after termination.

15.5. Survival. The following clauses survive termination by their nature: 5 (acceptable use), 7 (SQL responsibility), 9 (IP), 10 (accrued fees), 12 (disclaimers), 13 (liability), 14 (indemnification), 17 (governing law), and 18 (general).

16. Changes to these Terms

16.1. We may amend these Terms from time to time. Amended Terms are versioned (see "Version" at the top of this document) and are effective on the date stated.

16.2. Material changes. For material changes adverse to you, we will provide reasonable advance notice (at least 30 days) via in-application notice or email to your admin contact, and may require re-acceptance on next login.

16.3. Continued use. Continued use of the Service after the effective date of an amendment constitutes acceptance. If you do not accept an amendment, your sole remedy is to terminate in accordance with clause 15.1 before the effective date.

16.4. Version history. Prior versions of these Terms are available on request to the legal contact in clause 19.

17. Governing law and dispute resolution

17.1. Governing law. These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by the substantive laws of Sweden, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods (CISG).

17.2. Venue. The parties submit to the exclusive jurisdiction of the Swedish courts, with the Stockholm District Court (tingsrätt) as court of first instance, save that either party may seek injunctive or equitable relief in any court of competent jurisdiction.

17.3. Informal resolution. Before commencing proceedings, the parties will use reasonable endeavours to resolve disputes informally by contacting info@alto.se.

18. General

18.1. Entire agreement. These Terms, together with the Privacy Policy, DPA (if executed) and any order form or written agreement signed by both parties, constitute the entire agreement between the parties regarding the Service, and supersede all prior or contemporaneous communications and proposals on that subject.

18.2. Order of precedence. In case of conflict: signed order form / written agreement > DPA > these Terms > Privacy Policy > application documentation.

18.3. Assignment. You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, reorganisation or sale of all or substantially all of our assets.

18.4. No waiver. Failure to enforce any right or provision is not a waiver of future enforcement.

18.5. Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision will be modified to the minimum extent necessary to be enforceable while preserving the original intent.

18.6. Force majeure. Neither party is liable for delay or failure to perform (other than payment obligations) caused by events beyond reasonable control, including acts of God, war, terrorism, civil unrest, labour disputes, governmental action, internet/utility outages, or failures of upstream cloud providers.

18.7. Independent contractors. The parties are independent contractors. Nothing creates an agency, partnership, joint venture or employment relationship.

18.8. Notices. Notices to us must be sent to info@alto.se. Notices to you may be given via the application, the admin contact email on file, or the email associated with your account.

18.9. Language. These Terms are drafted in English. Any translation is for convenience only; the English version prevails.
